Terms & Conditions

Last updated: 11 October 2026

These Terms & Conditions ("Terms") apply when you use devaura.uk, request a proposal from us, buy a service from us, or use software we license, such as DevAura Field Courier for Odoo. "DevAura", "we" and "us" mean DevAura Agency. "You" means the person or business using the site or buying from us. By using the site or accepting a proposal, you agree to these Terms.

1. Our services

We design and build websites and web applications, mobile applications, and ERP systems (mainly Odoo, and custom systems where Odoo is not the right fit). We also license our own software products. The exact scope, deliverables, timeline and price of a project are set out in the written proposal or quote we send you. If that proposal conflicts with these Terms, the proposal wins for that project.

2. Quotes, estimates and the project survey

Prices shown on the site, including "starting from" prices and the figures produced by the project survey and the savings calculator, are estimates to help you plan. They are not an offer. A price becomes binding only when we confirm it in a written proposal and you accept it.

3. Payment

  • Payment terms (for example a deposit and milestone payments) are stated in your proposal.
  • Invoices are due within the period stated on the invoice. We may pause work while an invoice is overdue.
  • Prices exclude third-party costs unless the proposal says otherwise, for example Odoo licences, hosting, domains, app-store fees, paid plugins and payment-gateway fees.
  • Where we show prices in several currencies, the currency on your invoice is the one that applies.

4. Your responsibilities

You agree to give us the content, access, feedback and approvals we need on time, and to make sure that anything you give us (text, images, logos, data) is yours to use or properly licensed. Delays on your side can move the delivery date.

5. Changes to scope

Work outside the agreed scope is a change request. We will tell you the effect on price and timeline before we start it, and we will only do it once you approve it.

6. Ownership of the work

  • When you have paid in full, you own the custom work we produced specifically for your project, such as your site's design, your custom code and your content.
  • We keep ownership of our pre-existing tools, libraries, templates and know-how, and of our own products. Where these are part of your deliverable, you receive a non-exclusive, perpetual licence to use them as part of that deliverable.
  • Open-source and third-party components remain under their own licences.
  • Unless you ask us not to, we may mention you as a client and show the finished work in our portfolio.

7. Software licences and subscriptions (including DevAura Field Courier)

  • Our software products are licensed, not sold. A licence lets you use the product for your own business within the plan you chose (for example, the number of active couriers) for the paid period.
  • Field Courier is billed per active courier, yearly or monthly, at the price shown when you subscribe. Drivers do not need a paid Odoo user licence to use the app. Your own Odoo subscription, hosting and modules remain your responsibility.
  • Free trials are for evaluation, are limited to one per company, and end automatically at the end of the trial period.
  • Subscriptions renew at the end of each period unless you cancel before the renewal date. If a renewal is not paid, we may suspend the licence after notifying you. Your Odoo data stays in your Odoo database.
  • You may not resell, sublicense, reverse-engineer or remove licence checks from our products, except where the law allows it.

8. Third-party services

Projects often depend on services we do not control, such as Odoo, hosting providers, app stores, payment gateways and APIs. Their terms apply to your use of them, and we are not responsible for their outages, price changes or policy decisions.

9. Warranty and support

We will fix defects in our own work that you report within the warranty period stated in your proposal, at no extra cost. Ongoing maintenance, hosting and new features are covered by a support plan or a new proposal. We do not guarantee that software will be error-free or uninterrupted, or that a site will reach a particular search ranking or sales figure.

10. Limitation of liability

Nothing in these Terms limits liability that cannot be limited by law. Otherwise, we are not liable for indirect or consequential loss, or for loss of profit, revenue, data or business opportunity. Our total liability for any project is limited to the amount you paid us for that project in the twelve months before the claim.

11. Confidentiality

Each of us will keep the other's confidential information private and use it only for the project. This does not apply to information that is already public or that must be disclosed by law.

12. Ending a project

Either of us may end a project by written notice if the other seriously breaches these Terms and does not fix the breach within 14 days. You pay for work done up to the end date. Licences end when the subscription ends or is terminated.

13. Privacy

How we handle personal data is explained in our Privacy Policy.

14. Changes to these Terms

We may update these Terms. The version that applies to a project is the one in force when you accepted the proposal. For subscriptions, we will give you notice of material changes before your next renewal.

15. Governing law

These Terms are governed by the laws of the Arab Republic of Egypt, and the courts of Cairo have jurisdiction, unless the law of the country where you live as a consumer gives you rights that cannot be waived.
